Primary Role: The Corporate Paralegal will help establish and maintain professional practices inside of Latham to ensure appropriate corporate governance, compliance, and legal operations. Duties and Responsibilities: - Corporate Governance
- Prepare and maintain corporate minutes and organizational documents
- Manage legal entities
- Maintain corporate governance calendar and ensure required actions are taken
- Assist with annual reports and meetings
- Support preparation, distribution, and archiving of board books and records
- Manage various internal compliance processes
- Commercial Contracting
- Develop and maintain standard forms & clauses
- Support contract lifecycle management
- Litigation, Disputes & IP Support
- Maintain records and track status of pending matters
- Monitor service of legal process
- Coordinate flow of information between outside counsel and internal stakeholders
- Support internal and independents audits and investigations
- Expense Control & Value Realization
- Review service providers invoices
- Monitor vendor performance and value
- Solicit and evaluate vendor proposals and facilitate vendor selection
- Perform other duties as assigned
Qualifications: - Associates degree in paralegal studies or related field
- 3 years experience as a corporate or general paralegal in a law firm or legal department
- Excellent organizational skills, ability to multi-task and prioritize workload
- Excellent verbal and written communication skills
- Strong attention to detail and ability to keep accurate records
- Proficient with technology including Microsoft Office and ability to learn new tools
- Notary Public commission preferred
